Senior Manager - Company Secretariat and Corporate Governance (4472)

Your Role and What You'll Be Doing

The role of the Senior Manager is to support the Company Secretary and General Counsel to ensure that the group make effective and efficient decisions in a legal and regulatory compliant way.

  • Leading the day-to-day operations of the Group Corporate Governance and Company Secretariat function working in conjunction with the General Counsel Leadership Team.
  • Shaping and delivering an annual departmental plan including budgeting, resource planning and prioritisation
  • Running all Group and Subsidiary Board and Committee meetings, including preparing annual meeting plans, agendas, training and liaising with non-Executives and external parties as required.
  • Supporting the wider General Counsel team with policies and procedures, prepare and maintain all requisite registers, consents to deal, communications and announcements.
  • Undertaking various corporate governance projects as required, including but not limited to reviews of terms of reference and matters reserved for the Board.
  • Maintaining accurate records relating to share capital, including all employee and discretionary share plan transactions and incentives.
About You
  • ICSA qualified with significant company secretarial experience.
  • Experienced in managing and developing a small team.
  • Highly organised, process driven and detail-oriented, especially in written work.
  • Strong communication skills and ability to interact confidently with people at all levels.
  • An ability to establish credibility with and inspire confidence in all stakeholders, and to exercise judgment in dealing with sensitive and confidential issues.
